Terms of Use and Sale
These terms govern access to and use of the Orizen platform and subscriptions. This English version is a courtesy translation; the French version prevails.

1. Definitions
- Publisher: Rémy Magne (sole trader), publisher of the Service.
- Service / Platform: the « Orizen » SaaS solution at orizen.cloud, including its 12 AI-assisted modules.
- User: any person accessing the Service.
- Customer: the individual or legal entity holding a subscription.
- Customer Content: data and files entered or imported by the Customer.
2. Purpose and acceptance
These Terms govern access, use and subscription. Any use or subscription constitutes full acceptance. Otherwise, the User must refrain from using the Service.
3. Description of the Service
Orizen is a SaaS platform offering AI-assisted business management modules, accessible via a browser with no installation.
4. Account and security
Registration requires accurate, up-to-date information. The User is solely responsible for the confidentiality of their credentials and activity on their account. Report any fraudulent use to contact@orizen.cloud.
5. Subscriptions, pricing and payment
- Plans: Starter (€49/mo), Pro (€89/mo), Business (€199/mo), Enterprise (on quote).
- Recurring monthly card payment via Stripe; automatic charge each period.
- Automatic renewal until cancellation. Price changes are notified and apply from the next period.
- On payment failure, access may be suspended and then terminated absent regularisation.
6. Term, cancellation and withdrawal
No commitment; cancel anytime, effective at the end of the current period, with no pro-rata refund unless mandatory law provides otherwise.
B2B: no withdrawal right between professionals.
B2C: 14-day withdrawal right (French Consumer Code, Art. L221-18 et seq.). By requesting immediate performance, the consumer waives this right for the part already performed.
7. Availability
The Publisher aims for optimal availability but does not guarantee uninterrupted operation. No SLA is guaranteed except under a specific Enterprise agreement.
8. Acceptable use
- No unlawful, fraudulent or public-order-breaching use.
- No attack on the Service's security or integrity.
- No unlawful content or content infringing third-party rights.
- No resale or mass extraction (scraping, reverse engineering).
9. Artificial intelligence — disclaimer
AI-generated results are provided for information purposes only, may contain errors and do not constitute legal, accounting, tax, financial, medical or professional advice. The User is solely responsible for verifying and using them.
10. Intellectual property
The Service remains the Publisher's exclusive property. A personal, non-exclusive, non-transferable right of use is granted for the subscription term. Customer Content remains the Customer's property.

12. Warranties and limitation of liability
The Service is provided « as is » and « as available ».
The Publisher is not liable for indirect damages (loss of business, data, customers, or reputational harm). Save for gross negligence or wilful misconduct, total liability is capped at the amount paid by the Customer during the twelve (12) months preceding the triggering event. These limits do not apply where prohibited by law.
13. Backup and reversibility
The Customer should export data regularly. Upon termination, data may be retrieved for 30 days, after which it may be deleted.
14. Indemnification
The Customer indemnifies the Publisher against any third-party claim arising from Customer Content or non-compliant use.
15. Force majeure
No liability in cases of force majeure (French Civil Code Art. 1218), including network, hosting or AI-provider failures, and cyberattacks.
16. Amendment, severability
These terms may be amended (material changes notified). If a clause is void, the others remain in force.
17. Governing law and disputes
French law. Failing amicable resolution, the courts of Nevers (France) have jurisdiction, subject to mandatory consumer rules.
